Submission Terms

These Professional Collaboration Submission Terms apply to any Professional Collaboration Expression of Interest, enquiry, request, submission or communication made to Tom Pellegrini & Partners by a professional adviser, specialist, supplier, service provider, firm, business, representative or other person seeking to be considered for potential professional collaboration.

These terms apply whether the submission is made through the website, email, online form, confidential conversation process, direct contact, referral, social media or any other channel.

Submitting a Professional Collaboration Expression of Interest does not create a partnership, joint venture, referral arrangement, supplier relationship, agency relationship, fiduciary relationship, client relationship, advisory engagement, commercial agreement or obligation for Tom Pellegrini & Partners to proceed with any collaboration.

Any future collaboration, referral arrangement, supplier relationship, professional partner arrangement, commercial relationship or other arrangement will only arise if and when a separate written agreement is entered into by the relevant parties.

Tom Pellegrini & Partners may accept, reject, decline to progress, suspend, vary or terminate any professional collaboration assessment process at any time, subject to applicable law and any separate written agreement that may later be entered into.

Professional Collaboration Expressions of Interest are reviewed to determine whether there may be a suitable basis for further discussion, due diligence, referral consideration, supplier consideration, strategic alignment, professional collaboration or other commercial relationship.

Submitting an expression of interest does not guarantee a response, meeting, introduction, referral, recommendation, commercial opportunity, professional collaboration, acceptance as a professional partner, supplier relationship or any other outcome.

Tom Pellegrini & Partners may request further information, decline incomplete or unsuitable submissions, prioritise matters based on strategic fit, professional standards, capacity, client relevance, confidentiality considerations, regulatory considerations, conflicts, commercial alignment or other professional and business considerations.

By submitting a Professional Collaboration Expression of Interest, you confirm that the information provided is accurate, complete and not misleading to the best of your knowledge.

If you submit information on behalf of a firm, company, partnership, trust, employer, business, professional practice or other entity, you confirm that you have authority to do so.

You are responsible for notifying Tom Pellegrini & Partners if any information provided changes or becomes inaccurate, incomplete or misleading.

Tom Pellegrini & Partners may consider information including professional category, business details, qualifications, licences, registrations, memberships, insurance status, professional standing, experience, client focus, service coverage, referral considerations, conflict considerations, independence considerations and other information relevant to potential collaboration.

Tom Pellegrini & Partners may conduct reasonable due diligence before progressing any professional collaboration discussion or arrangement.

Nothing in the submission process requires Tom Pellegrini & Partners to verify, endorse, warrant or guarantee the suitability, competence, performance, professional standing or services of any submitter.

Information submitted through the Professional Collaboration Expression of Interest process will be treated with reasonable confidentiality, subject to these terms, applicable law, professional obligations and Tom Pellegrini & Partners' privacy documents.

Tom Pellegrini & Partners may use submitted information for the purpose of assessing, responding to, progressing or managing the professional collaboration enquiry and any related discussions, due diligence or potential arrangement.

Tom Pellegrini & Partners may use and disclose information submitted through a Professional Collaboration Expression of Interest where reasonably necessary for:

• assessing potential professional collaboration;
• contacting the submitter;
• conducting due diligence;
• arranging confidential introductory conversations;
• maintaining internal records;
• considering potential referral, supplier, adviser, professional or commercial arrangements;
• obtaining legal, accounting, compliance, licensing, insurance, regulatory or other professional advice;
• managing conflicts, regulatory obligations or professional obligations;
• using technology, CRM, cloud, email, document management, administrative or other service providers; and
• complying with applicable law, regulation, court order or professional obligation.

Personal information will be handled in accordance with the Privacy Collection Notice and Privacy Policy.

Any referral arrangement, commission, rebate, supplier arrangement, commercial benefit, reciprocal referral arrangement or other commercial arrangement must be separately discussed, assessed and documented in writing where required.

Where any referral fee, commission, rebate, benefit or other commercial arrangement exists or may arise, it will be disclosed where required by applicable law, professional obligation or internal policy.

Nothing in the Professional Collaboration Expression of Interest process requires Tom Pellegrini & Partners to make or accept referrals, recommend any professional or supplier, or enter into any commercial arrangement.

Submission of a Professional Collaboration Expression of Interest does not mean that Tom Pellegrini & Partners endorses, approves, recommends, guarantees or warrants the submitter, their firm, their services, their professional standing, their suitability or their performance.

Any future introduction, referral or recommendation will be made only where Tom Pellegrini & Partners considers it appropriate in the circumstances and subject to applicable law, professional standards, client interests and any required disclosure.

Submitting a Professional Collaboration Expression of Interest does not create a client relationship between the submitter and Tom Pellegrini & Partners.

Tom Pellegrini & Partners is not providing legal, financial, taxation, migration, credit, planning, valuation, development, construction, insurance or other regulated professional advice to the submitter through the submission or assessment process.

By submitting a Professional Collaboration Expression of Interest, you acknowledge that you have had the opportunity to review:

• these Professional Collaboration Submission Terms.
